Arcadia financial Advisors was established in 2001 as an independent “M&A firm” that is directly owned by its Partners.
The company performs the role of Advisor in extraordinary deals regarding corporate and property transactions.

preliminary analysis to study the alternative and strategic options to identify the targets or counterparts;
research and identification of possible counterparties matching with the selected criteria, and establish preliminary contacts aimed to define the way to proceed in the negotiations.

normalization of the economics;
activities to support the customer in the analysis and evaluation of strategic and industrial factors, such as impact on business value, evaluation of possible synergies , evaluation of intangible assets, analysis of structure of the economics, etc.;
economic/financial evaluation applying the more appropriated methodology to identify the fair market value , typically thorough DCF methodology or market comparables derived from completed transactions.

presentation of teasers, information memorandum, executive summary, business plan and any other document containing any useful information about the proposed transaction; alternatively, in case of acquisition, obtaining all necessary information to investigate the target;
support to the customer to structure and deal with the counterpart and identification of critical aspects about the negotiation;
presentation of NDA (confidentiality agreements) and letter of intent, reporting the main clauses preliminary for the final contract, assistance during all the stage of negotiation and during the drafting of the contract;
analysis and comparison of the bidder’s propositions and definition of the strength and weakness points of each bid (risks of the transaction, legal and tax approach , guarantees, covenants etc.) and assistance during the due-diligence process.

assistance to check any financial aspect applicable to the closing;
assistance in the execution of any legal aspect linked to transfer of shares;
assistance in the procedure to replace the members of the board;
assistance in completing and executing any other condition subject to the closing.
